Welcome to NROOTZ. These Terms & Conditions govern your use of our website, services, proposals, packages, digital products, communication channels, and work delivered by NROOTZ. By accessing our website or using our services, you agree to these Terms & Conditions.

 

1. About NROOTZ

NROOTZ provides website development, digital marketing, SEO, GEO, social media management, WhatsApp automation, CRM support, branding, content creation, analytics, reporting, AI business automation, and related digital growth services.

Our services may be offered as one-time projects, monthly retainers, campaign-based work, consulting assignments, or customised packages depending on the client requirement.

2. Use of Website

You may use this website to learn about our services, submit enquiries, request proposals, contact us, or access information related to NROOTZ.

You agree not to misuse this website, attempt unauthorised access, copy website content without permission, submit false information, upload harmful files, or interfere with the normal functioning of the website.

3. Service Proposals and Scope of Work

All services are provided based on the agreed proposal, quotation, package, invoice, email confirmation, or written communication.

The final scope of work will be limited to what is clearly mentioned in the approved proposal or written agreement.

Any additional work, changes, revisions, new pages, new creatives, additional campaigns, extra automation flows, plugin configuration, third-party integrations, product uploads, content changes, or urgent tasks outside the agreed scope may be charged separately.

4. Client Responsibilities

The client is responsible for providing accurate business information, brand assets, images, videos, product details, service details, login access, hosting/domain information, approvals, and feedback required for project delivery.

Delays in providing required information, approvals, access, or content may affect project timelines.

The client is responsible for ensuring that any content, images, videos, logos, trademarks, product claims, testimonials, and business information shared with NROOTZ are legally usable and accurate.

5. Website Development Terms

Website development work will be carried out based on the agreed package and scope.

Unless specifically mentioned, website packages do not include advanced SEO, payment gateway charges, paid plugins, third-party software subscriptions, copywriting beyond agreed content, product uploads beyond agreed limits, ongoing maintenance, campaign costs, or future content updates.

Domain, hosting, SSL, email hosting, premium themes, paid plugins, payment gateways, server charges, and third-party service costs may be billed separately unless included in the proposal.

6. Digital Marketing and Advertising Terms

NROOTZ may provide services such as Meta Ads, Google Ads, SEO, social media management, content creation, campaign setup, lead generation, remarketing, and reporting.

Advertising budget is separate from NROOTZ service charges unless specifically mentioned in writing.

NROOTZ does not guarantee specific sales, revenue, ranking position, lead volume, cost per lead, return on ad spend, or campaign outcome. Results depend on several factors including offer quality, audience demand, competition, ad budget, platform algorithm, landing page quality, creative quality, client follow-up, market conditions, and customer behaviour.

7. SEO and GEO Terms

SEO and GEO services may include keyword research, website SEO suggestions, technical recommendations, content planning, local SEO, Google Business Profile improvements, schema suggestions, blog strategy, and AI-search visibility recommendations.

Search engine rankings and AI search visibility cannot be guaranteed. SEO and GEO performance depends on competition, website quality, content quality, domain authority, technical structure, consistency, search engine updates, and third-party platform behaviour.

8. WhatsApp Automation and CRM Terms

WhatsApp automation, CRM setup, lead tracking, chatbot flows, auto-replies, broadcast structures, and follow-up systems may depend on third-party tools such as WhatsApp Business, Interakt, Zoho, HubSpot, Make, n8n, Meta, Google Sheets, or other platforms.

Third-party tool subscription fees, API charges, message charges, verification charges, platform approval delays, account restrictions, or policy-related limitations are the client’s responsibility unless otherwise agreed.

NROOTZ is not responsible for service interruptions, account restrictions, message delivery failures, platform policy changes, API changes, or technical issues caused by third-party platforms.

9. Social Media and Content Terms

Social media content, graphics, reels, captions, ad creatives, and other marketing materials will be created based on the agreed package.

Unless otherwise stated, video shooting, professional photography, voice-over, influencer charges, paid stock assets, advanced editing, animation, paid fonts, and premium templates are not included.

The client must review and approve content before publishing where approval is required. NROOTZ is not responsible for claims, errors, offers, prices, product/service details, or legal issues arising from information provided by the client.

10. Payments

Payment terms will be mentioned in the proposal, invoice, or written agreement.

For one-time projects, advance payment may be required before work begins.

For monthly retainers, payment must be made in advance unless otherwise agreed.

Delayed payments may result in project pause, campaign pause, delivery delay, service suspension, or additional restart charges.

All government taxes, gateway charges, platform charges, and bank charges, where applicable, may be billed separately.

11. Refunds and Cancellations

Payments made for completed work, strategy, consultation, setup, design, development, campaign setup, digital deliverables, third-party costs, and work already initiated are generally non-refundable.

If a project is cancelled after work has started, NROOTZ may charge for completed work, time spent, third-party costs, planning, design, development, campaign setup, and administrative effort.

Monthly retainers are not refundable after the service month has started.

12. Revisions and Approvals

Reasonable revisions may be provided based on the package and agreed scope.

Repeated changes, major redesigns, change of direction, new requirements, or revisions after approval may be charged separately.

Client approval through email, WhatsApp, message, meeting confirmation, or written communication will be treated as approval to proceed.

13. Timelines

Project timelines are estimates and may vary based on client response time, content availability, technical complexity, third-party approvals, platform issues, payment status, and change requests.

NROOTZ will make reasonable efforts to complete work within the agreed timeline, but delays caused by the client or third-party platforms are not the responsibility of NROOTZ.

14. Intellectual Property

Work created by NROOTZ will remain the property of NROOTZ until full payment is received.

After full payment, the client may use approved final deliverables for their business use.

NROOTZ may use non-confidential project work, screenshots, case studies, design samples, campaign summaries, or results in its portfolio, website, social media, or marketing materials unless the client requests confidentiality in writing.

NROOTZ retains ownership of internal processes, frameworks, templates, strategy models, code libraries, automation methods, proposal formats, and know-how used to deliver services.

15. Third-Party Platforms

NROOTZ may work with platforms such as Meta, Google, WhatsApp, YouTube, Instagram, Facebook, Zoho, HubSpot, WordPress, hosting providers, payment gateways, email tools, analytics platforms, automation tools, and other third-party services.

The client agrees that such platforms have their own terms, policies, pricing, account rules, data practices, and technical limitations.

NROOTZ is not responsible for account bans, policy restrictions, rejected ads, ranking changes, downtime, API changes, plugin conflicts, or pricing changes caused by third-party platforms.

16. Confidentiality

Both NROOTZ and the client agree to keep confidential business information, login credentials, pricing data, customer data, campaign data, and internal documents private, except where disclosure is required for service delivery or by law.

17. Limitation of Liability

NROOTZ will make reasonable efforts to provide professional services. However, NROOTZ shall not be liable for indirect losses, loss of revenue, loss of profit, loss of data, business interruption, platform issues, advertising account restrictions, search engine changes, customer follow-up failure, or third-party service failures.

The total liability of NROOTZ, if any, shall not exceed the amount paid by the client for the specific service that caused the claim.

18. Client Data and Access

The client is responsible for safely managing business accounts, admin access, passwords, user permissions, payment methods, ad accounts, domain accounts, hosting accounts, CRM accounts, and platform ownership.

NROOTZ may request access only for service delivery. The client should remove access after project completion if ongoing support is not active.

19. Termination of Services

Either party may terminate ongoing services as per the agreed notice period or contract terms.

NROOTZ may suspend or terminate services for non-payment, abusive communication, illegal activity, repeated delays, breach of terms, or misuse of deliverables.

20. Changes to These Terms

NROOTZ may update these Terms & Conditions from time to time. Updated terms will be posted on this website with the latest updated date.
